Keynoters Community Rules & Terms of Use

Welcome to Keynoters, a private community for keynote speakers, TEDx speakers, and speaking‑industry professionals. By joining, you confirm you are at least 18 years old and agree to both our Community Rules (Part I) and our Terms of Use / End User License Agreement (EULA) (Part II).
Part I: Community Rules (Culture & Conduct)
Purpose
Keynoters exists to help speakers grow their craft, business, and impact. We share insights on speaking, storytelling, audience engagement, event strategy, business operations, and professional development.
Membership Rules
Eligibility: Members must be 18+. Do not feature minors in content.
Respect: Courteous, professional, and supportive dialogue only. No harassment, hate speech, or discrimination.
Stay On‑Topic: Discussions should relate to speaking, events, or professional development.
No Unsolicited Promotion: No spam, affiliate/referral codes, or unsolicited pitching/lead capture. Honest, helpful resource sharing is welcome.
Confidentiality: Treat member materials, RFPs, pricing, and backstage processes as confidential. Do not repost outside without explicit permission from the author and the admin team.
Content Standards: No illegal, abusive, defamatory, infringing, or doxxing content.
Community Care & Moderation (Coaching‑First)
We lead with coaching and clarity first. Minor issues usually receive a private reminder.
If problems persist or are serious (e.g., harassment, spamming, breach of confidentiality), we may remove posts or, if needed, a member.
Appeals: You can request a review by replying to the moderator message or emailing the founder (see Contact).
Part II: Terms of Use & End User License Agreement
- Material Terms (Highlights)
These highlights do not replace the Terms below. In short: the Keynoters App is licensed, not sold; you may incur third‑party carrier/data fees; your data is handled per our Privacy Policy (keynoters.honeycommb.com/privacy_policy); the service is provided “as is” with limited liability; most disputes are resolved by binding arbitration with no class actions; and certain platform‑specific terms (e.g., Apple) apply.
- Eligibility & Jurisdiction
The Keynoters App is based in the United States. You may use it only where lawful. You must be 18 or older to join and participate. (If Honeycommb permits 13–17 access in some contexts, Keynoters restricts membership to 18+.)
- The Service
We may change, suspend, or discontinue features, functions, or content at any time. Continued use after posted updates constitutes acceptance of the updated Terms. No revisions apply retroactively to disputes predating the revision.
- Privacy
Use of Keynoters is subject to our Privacy Policy at keynoters.honeycommb.com/privacy_policy, incorporated here by reference.
- Registration & Accounts
To post or access members‑only features, you must create an account and provide accurate information, keeping it current. You are responsible for safeguarding your credentials and for all activity under your account. If we cannot reach you due to outdated contact information, we may suspend or terminate your account. Upon termination, we have no obligation to retain or provide your uploaded content—please keep your own copies.
- License to You (App/Platform)
Subject to these Terms, we grant you a personal, limited, revocable, non‑transferable license to access and use the Keynoters App for personal, non‑commercial purposes. All rights not expressly granted are reserved by Keynoters, Honeycommb, and applicable licensors.
- Intellectual Property & Trademarks
Keynoters’ content, branding, and software are protected by law. You may not copy, distribute, display, create derivatives of, or use our marks or content outside the App except as expressly permitted by in‑product share features and these Terms. All goodwill from use of our marks inures to Keynoters.
- User Content & License to Keynoters
You retain ownership of your content. By posting, you grant Keynoters a non‑exclusive, worldwide, royalty‑free, sublicensable license to use, reproduce, modify, publish, display, and distribute your content within the community and related Keynoters channels (e.g., member newsletters, in‑platform promotions). We will not sell your content to third parties.
You represent and warrant that you have the rights to post the content and license it as provided; that it does not infringe others’ rights or violate law; and that posting does not require additional licenses, attribution, or payment to third parties. We may remove or decline to host content at our discretion as required by law or these Terms.
- Content Boundaries & Prohibited Conduct
You agree not to post or do any of the following: illegal content; obscenity; sexual exploitation; threats; hate speech; harassment; doxxing or privacy invasion; IP infringement; false or misleading claims; spam or commercial solicitations; scraping, mining, or overburdening the service; reverse engineering; impersonation or misrepresentation; targeted abuse or stalking; security circumvention; or any unlawful use. International users must comply with local laws. Use the in‑app Report tools or contact us to flag issues.
- Events, Recordings & Media
Live sessions (e.g., AMAs, workshops) may be recorded for member access. By participating, you consent to recording and in‑community display. If you need something off the record, obtain explicit confirmation from the host before sharing.
- Third‑Party Links & External Sites
Links to external sites are provided for convenience and do not imply endorsement. You access them at your own risk, and Keynoters is not liable for external sites, promotions, or content.
- Feedback
If you submit ideas, suggestions, or feedback, you grant Keynoters a perpetual, worldwide, royalty‑free license to use them without restriction or obligation.
- Mobile Services & Carrier Fees
Your carrier’s messaging/data rates may apply. Availability may vary by device and carrier. Your use of Mobile Services must comply with these Terms.
- Termination
Membership may be ended by you or by us at any time. We may suspend or terminate access for violations of these Terms or to protect members, our community, or our rights.
- Limitation of Warranties & Liability
THE SERVICE IS PROVIDED “AS IS” AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED USD $100.
- Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold Keynoters and its affiliates, officers, and agents harmless from claims arising out of your use of the service, your content, or your violation of these Terms.
- Dispute Resolution, Arbitration & No Class Actions
No Class Actions. YOU AND KEYNOTERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. If a court finds the class‑action waiver unenforceable as to some claims, those claims shall proceed only in court as described under Governing Law & Venue below; the remaining claims shall proceed in arbitration.
Agreement to Arbitrate. Except for the exclusions below, you and we agree to arbitrate all disputes between us. The arbitrator has exclusive authority to resolve disputes about the scope, enforceability, or formation of this agreement to arbitrate. Excluded Disputes: (a) individual small‑claims actions; (b) regulatory enforcement actions; (c) requests for injunctive relief; and (d) claims concerning intellectual property rights.
Informal Negotiations. Before filing, the parties will attempt in good faith to resolve disputes for 60 days after written notice. Send notice to me@igorvainshtein.com (with subject: “Legal Notice”) and, where platform issues are implicated, copy Honeycommb LLC Legal at copyright@honeycommb.com.
Arbitration Rules. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Hearings may be conducted by submission, phone/video, or in person. The arbitrator may award individual relief as a court could.
Fees & Location. If you commence arbitration consistent with these Terms, we will reimburse your filing fee unless your claim exceeds $10,000, in which case fees are governed by the AAA Rules. Any in‑person hearing will be held in Denton County, Texas, unless otherwise agreed.
- Governing Law & Venue (Texas—Denton County)
These Terms are governed by the laws of the State of Texas, without regard to conflict‑of‑law principles. For disputes not subject to arbitration, the exclusive venue and personal jurisdiction shall be in the state courts located in Denton County, Texas or the federal courts sitting in the Eastern District of Texas (Sherman Division). You and we consent to those courts.
- Notice Regarding Apple (iOS)
These Terms are between you and Keynoters, not Apple. Apple has no obligation to provide maintenance or support and is not responsible for claims related to the App. Apple and its subsidiaries are third‑party beneficiaries of these Terms.
- DMCA / IP Notices
We respect IP rights and respond to valid notices under the DMCA (17 U.S.C. §512). For suspected infringement within the Honeycommb‑hosted platform, contact Honeycommb—copyright@honeycommb.com (U.S. Mail: 43 Broad Street, Suite B201, Hudson, MA 01740). You may also notify Keynoters at me@igorvainshtein.com.
- Miscellaneous
Section headings are for convenience only. If any provision is held unenforceable, the remainder remains in effect. No waiver of any term is a future or continuing waiver. We may assign these Terms; you may not without our written consent. These Terms constitute the entire agreement between you and Keynoters concerning the Service. Wherever “include” appears, it means “including without limitation.”
